These terms govern your use of Elabd Technologies' messaging automation services. By creating an account you agree to them.

01 Acceptance of Terms

By accessing or using the services provided by Elabd Technologies (“we,” “our,” “us”), including our client portal, messaging automation platform, and Meta API integrations, you (“Client”) agree to be bound by these Terms of Service.

If you do not agree to these terms in their entirety, you may not access or use our services. Continued use of our platform constitutes ongoing acceptance of any updates to these terms.

02 Description of Services

Elabd Technologies provides managed messaging infrastructure services, including:

  • Facebook Messenger automation and inbox management via Meta's official Graph API.
  • Instagram Direct message and comment automation via Meta's official Graph API.
  • WhatsApp Business messaging via the official WhatsApp Business / Cloud API.
  • A client-facing portal for managing conversations, configuring automation rules, and monitoring performance.
  • Webhook processing for real-time message delivery and receipt.
  • Knowledge base training so AI replies stay in your brand voice.

03 Use of Meta APIs

Our services are built on Meta's official Graph API and WhatsApp Cloud API. By using our platform, you also agree to comply with:

  • Meta Platform Terms
  • Meta Developer Policies
  • Meta's Community Standards and Messaging Policy
  • WhatsApp Business Messaging Policy

We are not responsible for service interruptions, feature changes, or access revocations caused by Meta's platform policy changes, API updates, or account-level enforcement actions by Meta.

04 Client Responsibilities

As a client, you are responsible for:

  • Maintaining the security of your portal login credentials.
  • Ensuring your Facebook Page, Instagram Business account, and WhatsApp Business number remain in good standing with Meta.
  • Configuring automation rules that comply with Meta's messaging policies.
  • Obtaining any necessary consents from your end-users before messaging them (including WhatsApp opt-in).
  • Reviewing AI-generated replies for accuracy and setting escalation rules so sensitive conversations reach a human.
  • Promptly notifying us of any unauthorized access to your account.

05 Prohibited Content & Conduct

You may not use our platform to:

  • Send spam, unsolicited bulk messages, or messages to users who have not opted in.
  • Transmit content that is illegal under Pakistani law or international regulations.
  • Harass, threaten, or abuse message recipients.
  • Violate any of Meta's Platform Terms or Messaging Policies.
  • Attempt to reverse-engineer, bypass, or exploit our platform's security mechanisms.
  • Use our services to impersonate another business or individual.

Violation of these terms will result in immediate account suspension and may be reported to Meta and relevant authorities.

06 Service Availability

We aim to maintain high availability for our platform and webhook infrastructure. However, we do not guarantee 100% uptime. Planned maintenance will be communicated in advance where possible.

Service availability is also dependent on Meta's API infrastructure, which is outside our control.

07 Fees & Payment

Service fees, where applicable, are published on our pricing page or agreed in a separate Service Agreement for Enterprise clients prior to onboarding. These Terms of Service govern the usage of the platform regardless of fee arrangements.

WhatsApp Business API conversation fees from Meta are passed through at cost and shown transparently in your dashboard.

08 Intellectual Property

All software, code, designs, and systems comprising the Elabd Technologies platform are the exclusive intellectual property of Elabd Technologies. Clients are granted a limited, non-transferable license to use the platform solely for their own business messaging operations.

Message content created by your business remains your intellectual property.

09 Limitation of Liability

Elabd Technologies shall not be liable for any indirect, incidental, consequential, or punitive damages arising from:

  • Service interruptions or downtime.
  • Loss of messages or data due to technical failures.
  • Changes to Meta's platform policies that affect our services.
  • Unauthorized access to your account resulting from your failure to protect credentials.
  • AI-generated content sent from your authorised accounts.

Our total liability to any client shall not exceed the total fees paid by that client in the three months preceding the claim.

10 Termination

Either party may terminate the service agreement with 30 days written notice. We reserve the right to terminate or suspend access immediately without notice in cases of:

  • Violation of these Terms of Service.
  • Violation of Meta's Platform Terms that puts our Business Portfolio at risk.
  • Non-payment of agreed fees.

Upon termination, all client data will be deleted from our systems within 30 days per our Data Deletion Policy.

11 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan.
